Constitution

Article 1: Name

This association shall be known as the: South African Rare Breed Poultry Association (SARBPA).

Article 2: Definitions

2.1 The Association
The South African Rare Breed Poultry Association (SARBPA)

2.2 Organisation
The Southern African Show Poultry Organisation (SASPO)

2.3 Constitution
The constitution of the South African Rare Breed Poultry Association (SARBPA)

2.4 Show Rules
The show rules of the SA Show Poultry Organisation (SASPO)

2.5 By Laws
The by-laws of the SA Show Poultry Organisation (SASPO)

2.6 Judge
A person in good standing and a holder of an official judge’s certificate issued by the Organisation or any other organisation recognised by SASPO

2.7 Committee
The Committee of the South African Rare Breed Poultry Association (SARBPA).

2.8 Breed
A distinct breed of poultry, answering truly to the type, carriage, and characteristics distinctive of the breed name they take as recognised by the Organisation in terms of its Standards of Perfection.

2.9 Variety
A definite branch of a breed known by its distinctive colour or marking – for example, the Columbian is a variety of the Dutch Bantam. (Thus, a breed includes all varieties and sub- varieties as recognised by the Organisation in terms of its Standards of Perfection.)

2.10 Rare Breed
A breed that is not readily available in the country or worldwide. Several breeds in Southern Africa is classified as rare.

2.11 Club
A club or society affiliated under the Articles of the SA Show Poultry Organisation’s Constitution or specially licensed by the Organisation to hold a show under its Show Rules.

2.12 Fraudulent Practice
As defined in the SASPO By-laws.

2.13 Official Organ
Shall mean the SARBPA gazette or such other publication as may, from time to time, be recognised as an official organ of the SARBPA.

2.14 Secretariat
A Secretary and Treasurer are appointed at an annual general meeting and control the secretariat.

Article 3: Affiliation

This Association shall be a non-profit Association affiliated with the Southern African Show Poultry Organisation (SASPO) as a SHOW HOLDING CLUB.

Article 4: Objectives

The objectives of the association shall be:

4.1 To host shows in various parts of Southern Africa for rare breed exhibition.

4.2 To promote the breeding, preservation, and multiplication of standard bred Rare Breeds, especially ensuring RARE and NEW colours conform to the standards as accepted by SASPO.

4.3 Strive towards uplifting the standard of the Rare Breeds of poultry in Southern Africa.

4.4 Contribute and make recommendations towards any additions and amendments to the Rare Breed breed standard of perfection.

4.5 To support and encourage electronic communication and the use of computer technology to benefit all aspects of the poultry hobby worldwide.

4.6 To promote friendship, understanding and communication among breeders and exhibitors.

4.7 To encourage the free and meaningful exchange of knowledge amongst breeders and exhibitors of Rare Breeds.

4.8 To advocate in every way possible the interests of breeders and exhibitors and to promote the welfare of all affiliated Rare Breed enthusiasts worldwide.

4.9 To facilitate breeders’ access to information on such subjects as breed standards, show dates, show results, poultry books, and poultry management.

4.10 To promote a web page on the Internet/Facebook linking with fanciers’ groups, organisations, clubs, and sources of poultry information.

Article 5: Membership

5.1 Any person with an interest in Rare Breeds may become a member.

5.2 The association may introduce special classes of members, such as Ordinary, Family, Youth or Pensioner Members, and with special fee structures, within the ambit of the above.

5.3 Membership is conditional on the acceptance of all aspects of this Constitution.

5.4 All SASPO members of SARBPA are subject to the SASPO constitution, By-Laws, and Show Rules

5.5 The Committee shall have the right to refuse any membership application without giving reason thereto.

5.6 Termination of membership occurs as a result of death, resignation, removal from the members’ list through disciplinary action. On the day of termination of membership all rights of membership cease, however remaining obligations e.g., outstanding payments, remain in force.

5.7 All members must preferably have access to a computer and to e-mail through the Internet or Internet linked electronic services.

5.8 There shall be four categories of membership:

5.8.1 Local Associate Member (Ordinary, Family, Youth or Pensioner Members):
A Local Member must reside in Southern Africa (South Africa, Namibia, Zimbabwe, and Botswana)
A Local Member may cast one vote per member. Members can affiliate to SASPO through the association.

5.8.2 International Associate Member
International Associate membership is available to anyone who resides outside Southern Africa who is interested in the goals of this association.
An Associate Member may enjoy all the benefits of the web page but does not have a casting vote.

5.8.3 Charter Member
All persons integrally involved in the founding of this association are considered Charter Members. They shall have the same rights and responsibilities as Regular members with certain exceptions.

5.8.4 Honorary Members
a) Any person who has made substantial and/or outstanding contribution to the association may be nominated to become a life member. Should a person be nominated for his involvement with the breed, that service should be of no less than ten years duration.
b) Such nomination shall be made only on the grounds of appreciation of such person’s services to the association and the breed and shall be submitted with the motivation for the nomination. Any member of the Committee may submit nominations for Honorary Life Membership which will be presented to the AGM. A seconder for the proposal is required and voting will be by ballot.
c) There shall not be, at any time, more than ten (10) honorary life members.

Article 6: Committee

6.1 The committee of this association shall consist of an executive committee, additional committee members and a president.

6.1.1 The executive committee consists of:
Chairman and Delegate to SASPO Vice Chairman
Secretary Treasurer

6.1.2 Additional Committee members
Members that will act as representatives of the association within other clubs.

6.1.3 President
A President may be nominated by the Committee after a thorough investigation of his achievements and contributions over the years and is chosen for a period of three (3) years. A President has no executive powers and may resign or retire at any time.

6.2 The committee is elected for a period of one (1) year, retiring office bearers is re-electable.

6.3 Only SASPO members who is in good standing and have passed the SAPSO examination on show rules is eligible to serve on the executive committee.

6.4 Office bearers are elected at the Annual General Meeting held at the SASPO national championship show. Office bearers is nominated verbally and must be seconded by at least two (2) members. Voting can take place by secret ballot or the show of hands.

6.5 Powers

6.5.1 Accept and administer subscriptions, donations, legacies, bequests, and other payments made to the association for any purpose.

6.5.2 Borrow and raise any money by means of a loan or bank overdraft and in security for such loans pledge or mortgage any movable or immovable property or securities.

6.5.3 Appeal, advertise or solicit for any subscriptions and donations in money or property of any kind from any source.

6.5.4 Purchase, dispose of, rent, lease, or hire movable or immovable property as well as goods and services required for the effective conduct of SARBPA affairs, or for the advancement of the interests of the association’s members.

6.5.5 Levy subscriptions, compulsory insurance contributions and other monetary contributions as may be deemed necessary from time to time for the better conduct of SARBPA’s affairs.

6.5.6 Lend money in the interest of SARBPA to any persons or bodies against security.

6.5.7 Invest SARBPA’s money in income bearing securities.

6.5.8 Institute and defend any legal proceedings.

6.5.9 Delegate powers to agents to act on behalf of SARBPA and to engage any professional assistance if required.

6.5.10 To conduct Disciplinary procedures within the ambit of the Constitution and By- Laws of SASPO.

6.5.11 To introduce and enforce Bylaws to regulate its activities.

6.5.12 Generally, perform all acts as may be necessary or conducive for the attainment of SARBPA’s Objects.

6.5.13 No profits or gains may be distributed to any private person or juristic person and the funds available for investment may only be invested with registered financial institutions as defined in section 1 of the Financial Institutions (Investment of Funds) Act, 1984, and in securities listed on a stock exchange as defined in the Stock Exchanges Control Act, 1985 (Act No. 1 of 1985).

6.5.14 The committee can appoint sub committees to assist the committee in achieving the associations objectives. One of the committee members must be a member of such sub committees.

6.5.15 Schedule and present all meetings.

6.5.16 The chairman and secretary of the association are authorized to undersign (initial each page) the constitution and amendment resolutions as accepted by the AGM.

Article 7: Communication

All formal communication regarding the association shall be emailed to members via the secretariat of the association. Communication can also take place via other communication channels such as Whatsapp and SMS.

Article 8: Meetings

8.1 An Annual General Meeting (AGM) of members shall be held at the SASPO national championship show each year upon the giving of at least three weeks written notice.

8.2 A quorum is formed by all the members in good standing present at the meeting.

8.3 The Committee, or any ten members in good standing by giving appropriate written notice to the Committee, may call a Special General Meeting (SGM) fully stating the purpose of the meeting at least six weeks in advance.

8.4 Committee Meetings are held when necessary.

8.5 Unless otherwise stated, all voting shall be by simple majority.

8.6 Only members over the age of 18 and in good standing shall be allowed to vote.

8.7 In case of a tie, the Chairman of the meeting shall have a casting vote.

Article 9: Finances

9.1 The Financial Year shall be from 1 November to the end of October each year.

9.2 The Treasurer shall be the custodian of the association’s assets and maintain appropriate financial records of the association and shall state the association’s financial position at each AGM.

9.3 Any member of the Organisation may at any reasonable time approach the Chairman in whose presence such member may personally inspect the financial accounts of the organisation.

9.4 No member of the association has any rights, claims or interest in the funds or assets of the association.

Article 10: Liability and Indemnity

10.1 Participation in all events and activities is at own risk and no person shall have any claim for damages against SARBPA, SASPO or any affiliates for any reason whatsoever.

10.2 All office bearers and members of SARBPA shall be indemnified by SARBPA in respect of any legal liability incurred while acting on behalf of SARBPA provided they acted in accordance with this constitution.

10.3 SASPO shall be indemnified against all actions by SARBPA, its office bearers and members acting in the in accordance with this constitution.

Article 11: Amendments

This Constitution may be amended as follows:

11.1 Proposed resolutions for amendments to this constitution must be submitted to the secretariat at least 6 weeks prior to the AGM.

11.2 Amendment resolutions may be approved by a 60 % majority vote at the AGM.

11.3 All amendments will be forwarded to the SASPO secretariat.

Article 12: Interpretation

12.1 In case of doubt or dispute as to the meaning or application of this Constitution, the interpretation of the Committee shall be binding upon the members until the next Annual General Meeting.

12.2 In the case of any doubt or dispute, the English version of the Constitution shall be regarded as the official Constitution.

Article 13: Dissolution

Dissolution will be deemed to have occurred when any of the following has occurred:

13.1 The membership elects to disband by an 80% majority vote at the AGM.

13.2 If the total number of Local Associate Members drops below 1.

13.3 Upon dissolution all assets shall become the property of SASPO.
